Gerry Wendrovsky represents individuals and groups in the organization, establishment, operation and 'winding up' of both profit, not-for-profit corporations and limited liability companies(LLC's) within the State of New York; the negotiation and drafting of LLC operating agreements(single and multiple members), corporate shareholder agreements, and partnership agreements; petitions for corporate dissolution; disputes between shareholders of domestic and foreign corporations, including for breach of 'fiduciary duty'; redemption/sale/purchase of shareholder/member interests(including the sale of real property interests); and the obtaining of tax-exempt(501) status for not-for-profit corporations from the Internal Revenue Service(IRS).
He has represented numerous individuals and entities, in the purchase and sale of small businesses, including restaurants; laundromats; candy stores; grocery stores and bodegas. He also represents parties in the acquisition of professional practices. As part of these transactions, Mr. Wendrovsky negotiates for commercial lease assignments/renewals/ modifications; and for enforcement provisions, including confessions of judgment/promissory notes. Mr. Wendrovsky has twice organized and was the chairperson of continuing legal education(CLE) programs conducted at the New York County Lawyer's Association that taught other lawyers the 'nuts and bolts' of the purchase and sale of small privately-held businesses.
Mr. Wendrovsky assists a wide variety of corporate and individual clients in a broad spectrum of claims, lawsuits and arbitrations, including those based upon breach of contract for payment/delivery of services/goods(building, design and engineering contractors/funeral services/equipment leasing/professional search firm fees); the filing and discharge of mechanics liens on real property; employment contracts(injunctions/non-competes/non-solicitation/restrictive covenants/trade secrets) and severance agreements; the prosecution and defense of discrimination claims(sexual harassment/race); the entry and enforcement of domestic judgments and foreign judgments; banking improprieties, including forged checks/instruments; the defense of uninsured business owners in personal injury and property damage actions; the representation of both plaintiffs and defendants in general litigation; and the prosecution and defense of wage issues(prevailing wage/overtime).
He has assisted both profit-making corporations and LLC's, and not-for-profit organizations, in numerous real estate commercial leasing transactions, lease modifications and assignments.
Mr. Wendrovsky represents building owners and contractors in the negotiation and drafting of American Institute of Architect(AIA) contracts.
He advises and provides New York licensed physicians with legal opinion on the applicable laws and guidelines regulating the practice of medicine in the 'medical spa' industry, including the areas of fee-splitting', professional licensure, the operation of esthetician training schools, and the potential for professional discipline.
He has created licensing agreements for the marketing and sale of products developed by small businesses; consulting agreements for independent experts and independent contractors; 'finder fee' agreements(product sales); care management agreements; and a host of other business contracts.
